TERMS AND CONDITIONS

TERMS AND CONDITIONS OF SERVICE This Agreement ("Agreement") is entered into between Black Source LLC and The Rich Virtual Assistant (collectively "Company," "we," "us," or "our") and the client ("Client," "you," or "your"). By submitting payment and executing this Agreement, Client acknowledges receipt and acceptance of these Terms and Conditions.

ARTICLE I: GENERAL TERMS AND CONDITIONS 1.1 Business Hours and Response Time Company operates Monday through Thursday, 9:00 a.m. to 5:00 p.m. Central Time. We are closed Friday, Saturday, and Sunday.

Holiday hours may vary and will be communicated in advance. All inquiries submitted outside of business hours will be addressed during the next business day. Company will respond to all communications within 24-48 business hours. Client agrees to submit only one inquiry per concern and to await Company's response before submitting additional requests regarding the same matter. 1.2 Authorized Communication Channels All official communications must be conducted through Monday.com. Company does not respond to inquiries submitted via social media platforms. Any requests submitted through unauthorized channels will not be acknowledged or addressed.

1.3 Coaching Sessions For packages including coaching services, Client will select a designated day and time for weekly coaching calls upon contract execution. Coaching appointments are non-transferable and non-reschedulable under any circumstances. Missed appointments will not be rescheduled, credited, or refunded. Client is advised to discuss scheduling availability during the onboarding call to prevent missed sessions.

ARTICLE II: SOFTWARE AND TECHNICAL REQUIREMENTS 2.1 Third-Party Software Subscriptions All third-party software subscription fees are the sole responsibility of Client. Company builds all sales funnels, automations, landing pages, subscription lists, and related infrastructure on www.kartra.com. A valid Kartra subscription is mandatory for project completion. 2.2 Software Access Requirements Client must purchase a Kartra subscription within three (3) days of final payment completion. Kartra login credentials must be provided to Company within eleven (11) days of service purchase via the designated Kartra access portal in Asana. Failure to provide login credentials within the specified timeframe may result in delayed or non-delivery of Kartra-related services without refund. For certain packages, Client must refrain from purchasing Kartra for sixty (60) days following payment. Company will notify Client when subscription purchase is required. If Kartra login information is not received within seventy (70) days of payment, website delivery may be delayed or cancelled without refund. 2.3 Domain Requirements All landing pages and funnels require a valid URL. Client may choose one of the following options: a) Company purchases a new domain name and links it to Client's Kartra page; or b) Client links an existing domain to their Kartra account.

ARTICLE III: CONTENT AND DELIVERABLES 3.1 Content Provision Company is responsible for designing Client's website and business infrastructure. Any custom content, taglines, strategies, or specific materials Client wishes to include must be submitted to Company via email within thirty (30) days of purchase. ARTICLE IV: PROJECT TIMELINE AND DELIVERY 4.1 Standard Delivery Timeline Company will deliver all contracted deliverables, including logos and login information, on the ninety-third (93rd) business day following payment. All deliverables will be provided via Client's Monday.com coaching profile. 4.2 Expedited Delivery Client may request expedited delivery within forty (40) days by paying a rush fee of $1,500.00. This request must be submitted within three (3) days of purchase. Rush fee is non-refundable regardless of project outcome. ARTICLE V: REFUND POLICY 5.1 No Refunds All services are non-refundable under any and all conditions. This policy is absolute and without exception. 5.2 Division of Responsibilities Black Source LLC and The Rich Virtual Assistant are responsible for providing Client with the tools, building services, systems, and resources necessary to establish Client's business infrastructure properly. Client is solely responsible for scaling their business and implementing the strategies, systems, and tools provided by Company. 5.3 Non-Refundable Circumstances Refunds will not be issued for any reason whatsoever, including but not limited to: a) Change of mind or buyer's remorse b) Change in Client's financial situation or ability to pay c) Client's decision not to utilize services after purchase d) Client's failure to implement tools, strategies, or systems provided e) Lack of business results due to Client's non-implementation f) Personal circumstances, life changes, or emergencies g) Client dissatisfaction with deliverables that meet the agreed-upon scope of work h) Client's inability to attend scheduled coaching sessions i) Client's failure to provide required information or credentials j) Any other circumstance not explicitly caused by Company's breach of contract 5.4 Scope of Company Obligations Company fulfills its contractual obligations by delivering the services, tools, and infrastructure outlined in the package purchased by Client. Client's business success and revenue generation are dependent upon Client's execution, implementation, and utilization of the provided resources. Company makes no guarantees regarding Client's financial outcomes or business results. 5.5 Chargeback Policy In the event Client initiates a chargeback or payment dispute through their financial institution, Client will automatically and immediately incur the following fees: a) Chargeback Fee: $12,000.00 b) Inconvenience Fee/Contract Violation Fee: $4,000.00 c) All legal fees, court costs, and filing fees incurred by Company in pursuing collection or legal action These fees are due and payable within forty-eight (48) hours of chargeback initiation. Failure to remit payment within this timeframe will result in immediate legal action. Company reserves all rights to pursue collection through any legal means available. 5.6 No Credits or Transfers Services purchased cannot be refunded, credited toward other services, or transferred to another party under any circumstances.

ARTICLE VI: PROFESSIONAL CONDUCT AND RESPECT POLICY 6.1 Mutual Respect Black Source LLC and The Rich Virtual Assistant are committed to providing exceptional customer service and leadership. Company will conduct all interactions with professionalism, fairness, and respect. Mental health and wellbeing are priorities for both Company staff and Clients. 6.2 Scope of Work Limitations Requests falling outside the agreed-upon scope of work will not be honored. Client must communicate with Company staff in a respectful, professional, and courteous manner at all times. 6.3 Violation Consequences Violation of this Respect Policy, including but not limited to harassment, bullying, verbal abuse, threatening behavior, or unprofessional conduct, will result in immediate contract termination without refund or delivery of any remaining services.

ARTICLE VII: TERMINATION RIGHTS 7.1 Grounds for Immediate Termination Company reserves the right to terminate this Agreement immediately without refund or delivery of services for any of the following reasons: a) Failure to provide requested information, content, or materials by specified deadlines b) Failure to provide Kartra username, password, or other required login credentials c) Bullying, harassing, threatening, or disrespecting Company staff in any manner d) Unprofessional or disrespectful communication of any kind e) Violation of any term or condition outlined in this Agreement f) Behavior that creates a hostile or unsafe environment for Company staff 7.2 Client Acknowledgment Client acknowledges that Company staff are human beings deserving of dignity and respect. While Company welcomes questions, concerns, and feedback, all communications must adhere to professional standards. Company will honor and respect Client's business and needs; Client must reciprocate this respect toward Company staff.

ARTICLE VIII: ENTIRE AGREEMENT This Agreement constitutes the entire understanding between Company and Client and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification of this Agreement will be effective unless executed in writing and signed by both parties. By submitting payment, Client acknowledges having read, understood, and agreed to be bound by all terms and conditions set forth in this Agreement.
